Terms of Service for BiDir Business Solutions

.Membership and Service Access

BiDir Business Solutions provides a platform for businesses to list themselves online by signing up for free. Also, listed businesses can list their products and services through a membership at a fee, for a calendar month. Membership fees are NOT REFUNDABLE.

Memberships can naturally expire at the end of their cycle, which is the end of a calendar month, or by the user purchasing a new membership, which immediately cancels the previous one and starts a new one.

Free Trial: New business accounts receive a two‑month free trial of the paid BiDir memberships. A “month” refers to a calendar month, applicable to the natural cycle of a membership. If a user is to start a new membership before the end of their current’s natural cycle, the system will deem one free trial month to have been consumed and start a new one, if within the quota.

.User Information

To access and list themselves on the Service, users must provide the following information:

• Business Name
• Business Email
• Unique Password
• Country of Trade

All users are solely responsible for providing accurate and up-to-date information. BiDir is not liable for consequences of incorrect or outdated data.

.Platform Content and Listings

BiDir Business Solutions reserves the right to delete or block access to announcements, content, or listings posted by business users without notice in the following circumstances:

• Receiving mandatory judgments from competent public authorities.
• Intellectual property infringement claims.
• Breach of user rights, legal interests, or requests from other users.
• Detection of violations of these Terms or applicable laws.
• Fraudulent/misleading content

BiDir Business Solutions is authorized to remove any announcement, data, or listings, regardless of providing justification to the user.

No Transaction Facilitation: BiDir provides listing and search services only. We are not a payment processor or escrow agent and do not handle funds or goods. BiDir doesn’t offer direct or indirect B2B or B2C payments.

Tax and Compliance: Businesses or business account users are solely responsible for collecting and remitting any taxes or fees arising from transactions facilitated via their listings.

.Account Creation and Security

• You may create a Business Account as an individual or as an authorized representative of a company.
• You may only create one Account per business.
• BiDir offers two-factor (2FA) login authentication to help maintain high account security. However, you are solely responsible for safeguarding your account credentials and are liable for any activities performed using your account.
• If you are under 18 years of age, you must have permission from a parent or legal guardian to use the Service.

.Prohibited Activities

You agree not to:

• Post or sell illegal, misleading, offensive, harmful, or deceptive content or information.
• Post or sell prohibited items, including counterfeit goods, illegal services, or firearms.
• Engage in activities that interfere with the normal operation of the platform, including circumventing technical restrictions.
• Use the platform for any unauthorized or illegal purpose.
• Promote unsolicited commercial emails, viruses, or malware.
• Post content, ads, listings, or announcements that violate your applicable local or jurisdiction laws, for your business’s country of operation.
• Engage in harassment, hate speech, or threats.

.Compliance with Laws and Prohibited Goods/Services

Local Laws: All users must comply with all applicable laws in their country of trade and any jurisdictions they target.

Prohibited Items: BiDir prohibits listings for items or services that are illegal, unsafe, or violate intellectual property rights. A non‑exhaustive list includes:

• Weapons and ammunition
• Illegal drugs and pharmaceuticals
• Human organs or biological materials
• Stolen property and counterfeit goods
• Adult services, pyramid schemes, and unlicensed financial products

All users must comply with:

• All applicable laws of their country of registration, operation, platform access, and international laws.
• These Terms of Service.
• All posted platform rules and policies.

.User Representations and Warranties

By using the Service, you represent and warrant that:

• You have the legal capacity to agree to these Terms.
• You are above 18 years of age.
• You have provided true and accurate information in your Account.
• You will comply with all applicable laws and not use the Service for illegal purposes.

.Indemnification

You agree to indemnify and hold harmless BiDir, its affiliates, officers, and employees from any claims, damages, losses, liabilities, or expenses (including legal fees) arising out of your use of the Service, your content, or any violation of these Terms.

.Limitation of Liability

To the fullest extent permitted by law, BiDir will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if advised of the possibility of such damages.

.Intellectual Property Rights

BiDir Content: All trademarks, logos, and materials on the Service are owned or licensed by BiDir.

User Content License: You retain ownership of your listings, data, and intellectual property but grant BiDir a non‑exclusive, worldwide, perpetual license to use, display, and distribute your content to operate and promote the Service.

.Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Kenya. Any dispute arising from these Terms will be resolved through arbitration in accordance with the NCIA Arbitration Rules. The language of the arbitration shall be English.

.Miscellaneous

• Safety Protocols: BiDir is solely a listing platform and is not responsible for buyer–seller transactions. Always verify personnel match their profile, meet in safe public venues, and never pay before receiving goods/services or obtaining valid proof of purchase.
• Modifications: We may update these Terms at any time by posting revised Terms and, where required, notified to you in-app or via email. Continued use constitutes acceptance.
• Severability: If any provision is held invalid, the remainder of these Terms remains in effect.
• Assignment: BiDir Business Solutions reserves the right to transfer or assign rights and obligations under these Terms. You may not assign without our prior written consent.
• Failure to act on a breach of these Terms does not waive BiDir Business Solutions's right to enforce these Terms in the future.
